{"id":4296,"date":"2021-06-25T16:59:32","date_gmt":"2021-06-25T20:59:32","guid":{"rendered":"https:\/\/lmrlawyers.com\/?p=4296"},"modified":"2021-06-25T17:01:52","modified_gmt":"2021-06-25T21:01:52","slug":"extending-limitation-period-by-text","status":"publish","type":"post","link":"https:\/\/lmrlawyers.com\/fr\/extending-limitation-period-by-text\/","title":{"rendered":"Extending the Limitation Period by Text \u2013 Signed, Sealed and Delivered"},"content":{"rendered":"<p>In <a href=\"https:\/\/www.canlii.org\/en\/on\/onscdc\/doc\/2021\/2021onsc3477\/2021onsc3477.html?autocompleteStr=1475182%20Ontario&amp;autocompletePos=1\"><em>1475182 Ontario Inc. o\/a Edges Contracting v. Ghotbi<\/em> (2021 ONSC 2477)<\/a>, the court determined that a text message was an acknowledgement by party pursuant to section 13 (1) of the <em>Limitations <\/em>Act (the \u201cAct\u201d) and that the limitation had not expired as a result of this acknowledgement.<\/p>\n<p>The core issue before the Ontario Divisional Court is whether the text message met the requirement of being signed by the person acknowledging the debt.<\/p>\n<p>The Act states that, <em>\u201cif a person acknowledges liability in respect of a claim for payment of a liquidated sum\u2026the act or omission on which the claim is based shall be deemed to have taken place on the day on which the acknowledgement was made.\u201d <\/em>Importantly, s. 13(10) of the Act states that the acknowledgement does not apply unless it <em>\u201cis in writing and <u>signed<\/u> by the person making it<\/em> [emphasis added].\u201d<\/p>\n<p>In <em>Edges Contracting<\/em>, there was dispute between a dentist and their contractor due to the dentist\u2019s partial non-payment of the contractor\u2019s invoice, in the amount of $24,521. The contractor\u2019s work was last performed in March 2016 and the contractor issued their claim as against the dentist seeking $25,000 plus costs in relation to the partial non-payment of their final invoice on May 30, 2018. Therefore, the claim was issued outside of the two-year presumptive limitation period.<\/p>\n<p>The contractor took the position that the limitation period had not expired, as the dentist had acknowledged the debt within the requirements of s. 13(1) of the Act.\u00a0 The contractor received a text message from the dentist which acknowledged their liability for the debt to the contractor on June 2, 2016. This text message, the contractor argued, is an acknowledgement in writing which was signed by the dentist and thus should extend the limitation period to June 2, 2018. Accordingly, the contractor argued that the claim was in time as it was issued May 30, 2018.<\/p>\n<p>Both at trial and on appeal, the court agreed that the text message constituted an acknowledgement in writing signed by the person liable in respect of the contractor\u2019s invoice and that the claim should be allowed.<\/p>\n<p>The Honourable Justice C. Boswell sitting in Divisional Court found that the text message met the requirement that the communication was in writing. \u00a0Justice Boswell\u2019s reasons for finding that the text message was <em>\u201csigned\u201d <\/em>by the dentist are interesting.<\/p>\n<p>The decision began by applying the Ontario Superior Court\u2019s decision in <a href=\"https:\/\/www.canlii.org\/en\/on\/onscdc\/doc\/2016\/2016onsc2093\/2016onsc2093.html\"><em>Lev. Serebrennikov <\/em>(2016 ONSC 2093)<\/a><em>, <\/em>where Patillo J. held that an email bearing the debtor\u2019s name constituted a signature. Although the court in <em>Lev<\/em> held that an email coming from the relevant person\u2019s email could be found to be a <em>\u201csignature,\u201d <\/em>the court remarked that <em>\u201cthe issue in every case will be one of fact concerning authenticity.\u201d<\/em> The judge in <em>Edges Contracting <\/em>attempted to address this concern by further extending the principle set out by their Superior Court colleague, finding that <em>\u201cthe plain wording of <\/em>[s. 13(10)] <em>cannot simply be ignored\u2026<\/em> [the dentist\u2019s] <em>texts were obviously not \u2018signed\u2019 in the traditional sense. But s. 13(10) does not prescribe any particular type of signature.\u201d <\/em>They found that <em>\u201cit is incumbent upon the court to consider not just traditional means of affixing one\u2019s signature to a document, but other, more modern means, including digital signatures.\u201d <\/em>Since there was no question that the dentist was indeed the author of the subject text messages, <em>\u201cthe underlying purpose of s. 13(10) has been satisfied.\u201d <\/em><\/p>\n<p>Furthermore, the court found that the requirement for a signature had been met in this case as the <em>\u201cunique identifiers\u201d<\/em> associated with cellphones provide the equivalent of a digital signature upon each message sent by the user of a particular device. Therefore, the digital signature was sufficient to meet the requirements of s. 13(10) and costs of the appeal were awarded as against the dentist and the trial judge\u2019s award of $25,000 remained payable to the contractor.<\/p>\n<p>Although the outcome of this case was likely motivated to avoid patent unfairness for the contractor being out of time to bring a claim, the decision could be read as broadly interpreting the subject legislation in a way that was never contemplated or intended. This is pretty much admitted in the decision and it is questionable whether this will be good law moving forward.<\/p>\n<p>It is also interesting that Justice Boswell relies on \u201cunique identifiers\u201d associated with cell phones without indicating the basis of this evidence. There does not seem to be any expert evidence that was called at trial to support this.<\/p>\n<p>This decision seems to raise more questions than answers with respect to how Ontario courts will interpret section 13 of the Act moving forward and what will constitute a signature.<\/p>\n<p>In this case, there was no dispute regarding whether the dentist sent the text message. What happens when someone disputes that they sent the communication? Or, what if it was sent from their device but the defendant says that a spouse or child sent the communication?<\/p>\n<p>Will WhatsApp messages be considered authentic, given that they are encrypted and can be sent from a variety of devices? How can one validate the source of a message from Facebook Messenger if the user pleads that their account was compromised? These are limited examples of how the complex and ever-changing landscape of contemporary digital communications challenge the principles extended in <em>Edges Contracting<\/em>.<\/p>\n<p>Although the case appears to extend the principle that an acknowledgement by text message is sufficient to extend the limitation period, every matter involves different facts and different issues. It should not be relied upon and we are not providing legal advice in this blog.
